1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Kunming Jiaqin Network Technology Co., Ltd ("Company," "we," "us," or "our") concerning your access to and use of the www.jiaqin.sbs website and any related services (collectively, the "Services").

  • We may retain the right to use anonymized project information for portfolio purposes

4.3 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes, subject to these Terms.

5. Payment Terms

For paid services:

  • Payment terms will be specified in individual service agreements
  • All fees are quoted in Chinese Yuan (CNY) unless otherwise specified
  • Payment is due according to the agreed schedule
  • Late payments may incur interest charges as permitted by law
  • We reserve the right to suspend services for overdue accounts
  • All fees are non-refundable unless otherwise stated in writing

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This includes:

  • Business strategies and plans
  • Technical specifications and designs
  • Customer data and information
  • Financial information
  • Any information marked as confidential

This obligation survives the termination of these Terms.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted or error-free
  • Defects will be corrected
  • The Services are free of viruses or harmful components
  • The results obtained from using the Services will meet your requirements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you provide to us

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Services will immediately cease
  • Any outstanding payments become immediately due
  • Provisions that by their nature should survive termination will survive

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms shall be resolved through:

  • Good faith negotiation between the parties
  • If negotiation fails, mediation in Kunming, Yunnan Province
  • If mediation fails, arbitration or litigation in the courts of Kunming

12. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of the Services after any changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

15. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements and understandings.
